1. Scope
These Terms & Conditions (“Terms”) apply to all enquiries, quotes and purchase agreements made via the website www.swapa.… or otherwise between [full company name], Dubai, UAE (“Swapa”, “we”) and the customer (“Buyer”) for the purchase of electric vehicles (“Vehicles”).
By using the Website, submitting an enquiry, or otherwise engaging with our services, the Buyer agrees to these Terms. The Buyer (as the contracting party placing an order) must be at least 18 years old. A different minimum age applies to actually operating the Vehicle — see clause 3.6.

3. Product Description and Important Notice on Street Registration
Swapa sells electric vehicles which, consistent with standard practice for golf carts and comparable community EVs in the UAE, are classified by the Roads and Transport Authority (RTA) as NOT road-legal (“non-road-legal”).
The Vehicles are intended exclusively for use on private roads, internal streets and areas within approved residential developments, golf courses, resorts, farms or comparable private premises. Use on public roads, highways or pedestrian walkways is not permitted.
By entering into a contract, the Buyer expressly confirms that they understand and accept that the Vehicles are not registered or approved for use on public roads.
Community registration: As is common with comparable providers in Dubai, many master developers (e.g. Emaar, Nakheel, Damac or similar community management bodies) require the Vehicle to be registered with community security before use, and to pass a basic safety check (e.g. functioning headlights, indicators, brake lights and seatbelts). The Buyer is solely responsible for obtaining this registration and any other permits or approvals required.
Any use outside private, non-public areas is at the Buyer’s own risk and responsibility. Swapa is not liable for fines, impoundment, accidents, loss of community access rights, or any other consequence of non- compliant use.
Minimum age to operate the Vehicle: the Vehicle may be operated by persons aged 16 and above. The Buyer or the operator’s parent/guardian is responsible for ensuring that any operator under 18 has received adequate instruction and that use takes place only within permitted private areas and in accordance with any additional rules set by the relevant community management. Swapa accepts no liability for personal injury or third-party damage caused by underage operators.
4. Enquiries, Quotes and Conclusion of Contract
The Website does not operate an automated online shop or checkout. Vehicle listings, images, pricing indications and specifications on the Website are for information only and do not constitute a binding offer by Swapa.
To purchase a Vehicle, the Buyer submits an enquiry via the contact form, email, phone or WhatsApp. Swapa will respond with a non-binding quote.
A binding contract is concluded only once Swapa has issued a written order confirmation or invoice and, where applicable, the Buyer has countersigned or otherwise accepted it (e.g. by paying the agreed deposit).
Colours, features and specifications may vary slightly from website images depending on model year, availability and device/screen settings. Swapa reserves the right to modify or discontinue products at any time without prior notice.
5. Prices and Payment Terms
All prices quoted are in [AED], inclusive of any applicable VAT unless stated otherwise.
Payment is made as individually agreed in the quote/invoice (e.g. bank transfer, payment link, card payment in person, financing through a partner bank, cash).
6. Delivery
Delivery is made to the address specified by the Buyer within an accessible community, resort or comparable area in Dubai or elsewhere in the UAE, as agreed.
Delivery dates are non-binding estimates unless expressly agreed as binding.
The Buyer is responsible for ensuring that the relevant community management/security approves the delivery and grants the required access.
7. Retention of Title
The delivered Vehicle remains the property of Swapa until the purchase price has been paid in full.
8. Returns and Exchanges
There is no statutory right of withdrawal comparable to EU distance-selling law under UAE law. However, as is common among comparable Dubai providers, Swapa voluntarily offers a 7-day return window from the date of delivery.
To be eligible for a return, the Vehicle must be unused and in its original condition, without significant wear, use or damage. Returns are subject to prior inspection by Swapa.
Collection/return transport costs and any diminished value may be charged to the Buyer to the extent permitted by law.
9. Warranty
Statutory warranty rights under UAE law apply.
In addition, Swapa provides a voluntary manufacturer’s warranty of 2 (two) years from the date of delivery on standard models, covering manufacturing defects and material mechanical or electrical faults arising under normal use. Full details are set out in the separate Warranty Terms [insert link/attachment].
Certain models or reduced-specification (“base/lite”) variants may be excluded from the warranty in whole or in part; this will be indicated on the relevant product listing or quote.
Damage caused by improper use — in particular use contrary to clause 3 of these Terms (e.g. use on public roads), improper maintenance, or unauthorised technical modifications — is excluded from the warranty.
10.Maintenance and Service
Swapa and/or its authorised service partners offer maintenance, repair, spare parts and battery service for the Vehicles sold. Recommended maintenance intervals and battery care guidance are provided to the Buyer at handover and/or in the vehicle documentation.
11. Liability
To the extent permitted by law, Vehicles and services are provided “as is” and “as available”, without warranties beyond those set out in these Terms and the statutory warranty rights.
Swapa’s liability is unlimited for intent and gross negligence, and for death or personal injury caused by Swapa’s negligence.
Beyond that, Swapa’s liability is limited to the extent permitted under mandatory UAE law. Swapa is not liable for consequential losses, loss of profit, or damage arising from non-compliant or unauthorised use of the Vehicle, in particular use on public roads.
12. Website Use and Intellectual Property
The Buyer agrees not to use the Website for any unlawful or unauthorised purpose. Breach of these Terms may result in restriction of access or termination of the business relationship.
All content on the Website (text, images, logos, trademarks) is the intellectual property of Swapa or the respective rights holders and may not be copied, reproduced or otherwise used without prior written consent.
Swapa is not responsible for the content, policies or practices of any linked third-party websites.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The competent courts of Dubai, UAE [alternatively: the DIFC Courts, if preferred — please select] shall have exclusive jurisdiction over any dispute arising out of or in connection with this agreement.
14. Final Provisions
Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. Swapa reserves the right to amend these Terms at any time with effect for the future; the version published on the Website at the time of your enquiry/order shall apply. Continued use of the Website following any change constitutes acceptance of the amended Terms.
